1. Scope

EU Ingredients sells exclusively to businesses (B2B). By registering or requesting a quote, the buyer confirms that it acts in the course of its business. Consumers cannot buy through this platform. Deviating terms of the buyer apply only if the seller accepts them in writing.

2. Quotes and conclusion of contract

Product information on the website is not a binding offer. A quote is valid for the period stated in it, or 14 days if no period is stated. A contract is concluded when the seller confirms the buyer’s order in writing (order confirmation by email).

3. Prices and payment

Prices are in euros and exclude VAT unless stated otherwise. Intra-EU supplies to buyers with a valid VAT ID are invoiced without VAT under the reverse-charge procedure. Payment terms are stated in the quote and order confirmation. In case of late payment, statutory default interest applies.

4. Delivery and transfer of risk

Delivery terms (Incoterms 2020) and lead times are stated in the quote. Lead times are estimates unless expressly confirmed as binding. Partial deliveries are permitted unless agreed otherwise.

5. Retention of title

Goods remain the property of the seller until paid in full.

6. Quality, inspection and complaints

Goods conform to the specification in the technical data sheet and the certificate of analysis of the delivered lot. The buyer shall inspect goods on receipt. Visible defects and quantity differences must be reported within 8 days of delivery, hidden defects within 8 days of discovery, together with the lot number and supporting evidence. Goods subject to a complaint must be kept unused and available for inspection.

7. Use of products

The buyer is responsible for the suitability of products for its intended use and for the compliance of its finished products with applicable law, including food, cosmetic and medicinal product legislation.

8. Liability

The seller’s liability is limited to the value of the delivered goods concerned, except in cases of intent or gross negligence and where liability cannot be limited by law. The seller is not liable for indirect damage or lost profit.

9. Force majeure

Neither party is liable for delays caused by events beyond its reasonable control. Delivery dates are extended accordingly.

10. Governing law and jurisdiction

These terms are governed by the law of the Republic of Slovenia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The competent court in Koper, Slovenia, has jurisdiction.
